Enterprise Digital Cooperation Agreement
1. Acceptance of Terms
By engaging Falex Systems for web architectures, software engineering, bespoke module configurations, custom scripts, or purchasing the FALEXWA Platform license, you (the "Client") agree to be bound legally by the terms, scopes, licensing regulations, and support SLAs specified in this document. These conditions dictate all contractual operations.
2. Project Scopes & Development Pipelines
All work is initiated on basis of technical specifications outlined inside our customized Client Requirements Documents (CRD). Development undergoes a strictly managed 6-pillar pipeline: specifications gathering, architecture blueprints design, modular coding phases, extreme stress diagnostic checks, production deployment, and post-launch SLA care. Any deviations from approved scopes will be considered out-of-scope and priced as separate custom script adjustments.
3. Billing, Fees & Strict Refund Policy
Fees are structured as tiered recurring service monthly suites or fixed product licenses. Software Engineering packages, Custom WHMCS integrations, and FALEXWA applications require clear payments upfront before server instances or source repositories are configured. Due to the custom, immediate engineering resources committed to each dashboard setup or custom script deployment, Falex Systems enforces a strict No Refund Policy once purchase is complete.
4. Intellectual Property & Licensing Rights
Upon successful completion and full settlement of final payments, the custom web application code, refactored databases, and localized script deployments are fully licensed to the Client. All proprietary pre-compiled core modules, standard scheduling algorithms, and specific proprietary platform software (such as the base structures of the FALEXWA broadcast application) remain the absolute, sole intellectual property of Falex Systems. Licensing allows single-instance utilization only.
5. System Deployment & Hosting Requirements
Falex Systems will configure the web systems on hardened virtual private server (VPS) hosting environments matching Nginx routing guidelines, secure caching configurations, SSL layer certification, and custom backend API bounds. The Client must provide adequate access to staging databases or root credentials when custom WHMCS migrations or refactoring schedules are ordered. Falex Systems is not liable for data loss caused by unauthorized server edits.
6. WhatsApp Campaign & Broadcaster Operations
When operating the FALEXWA Platform, the Client is exclusively responsible for ensuring that all contacts, list segments, messaging queues, and automated broadcasting schedules comply with local messaging regulations and WhatsApp’s technical terms of service. Falex Systems designs secure, throttled queuing engines but has zero control over third-party network pairings, and holds no liability for number limitations due to broadcasting anomalies.
7. Legal Jurisdiction
This agreement, digital transactions, custom modules distribution, and support pipelines are governed by, and interpreted strictly under, the legal codes and judicial jurisdictions of Mamukanjan, Punjab, Pakistan. Any claims must be settled within the administrative courts of Punjab.
